Terms of Service

1. Acceptance of Terms
By registering an account, creating a platform, or otherwise accessing FirmForge ("the Service"), you ("Operator") agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
These Terms apply to all operators, their administrators, managers, and any parties who interact with platforms built on FirmForge infrastructure.
2. Description of Service
FirmForge provides white-label trading platform infrastructure to brokers and prop firm operators. This includes, but is not limited to: client portals, trade rooms, back-office CRM systems, live price feeds, and campaign tools. FirmForge is an infrastructure provider and is not a licensed broker, financial advisor, or investment firm.
3. Operator Responsibilities
As an Operator, you are solely responsible for:
- Ensuring your business and all activities conducted on your platform comply with applicable laws in your jurisdiction.
- Obtaining any required licenses, registrations, or regulatory approvals before offering trading services to clients.
- The conduct and activities of your clients, managers, and staff.
- All content, communications, and representations made to your clients through your platform.
- Maintaining the confidentiality of your account credentials and administrator access.
- Accurately representing your platform's services and not making misleading claims about regulatory status, account protection, or investment returns.
4. Prohibited Uses
You may not use FirmForge to:
- Operate an unlicensed investment scheme, Ponzi scheme, or any fraudulent financial service.
- Engage in money laundering, terrorist financing, or any other illegal financial activity.
- Misrepresent your platform as being regulated when it is not.
- Target clients in jurisdictions where such services are prohibited without appropriate licensing.
- Operate under a custom domain for the purpose of concealing the nature of your activities.
- Use the Service in any manner that could expose FirmForge, its directors, or other operators to legal liability.
FirmForge reserves the right to terminate any platform immediately and without notice if prohibited use is suspected.
5. Custom Domain Policy
Custom domain configuration is available on Growth, Professional, and Enterprise plans. Operators on these plans may connect their own domain at any time through the Tenant Controller dashboard.
FirmForge may remove or disable a custom domain from our infrastructure at any time if we determine the platform is in breach of these Terms.
6. Plans, Billing, and Limits
FirmForge offers four platform plans with different feature levels and client/manager limits. Plan details, pricing, and limits are shown on our pricing page. Plan upgrades are managed through your Tenant Controller dashboard via crypto wallet deposit.
All payments are non-refundable once a platform upgrade has been applied. FirmForge may adjust plan pricing with 30 days' notice.
7. Suspension and Termination
FirmForge may suspend or terminate your account and all associated platforms at any time for:
- Violation of these Terms.
- Non-payment of outstanding plan fees.
- Receipt of complaints, chargebacks, or legal notices relating to your platform's activities.
- Any activity that poses a reputational, legal, or security risk to FirmForge or its users.
Upon termination, your platform data may be retained for up to 90 days for legal and compliance purposes, after which it will be deleted.
8. FirmForge's Liability
FirmForge provides infrastructure on an "as-is" basis. We do not guarantee uninterrupted service, and we accept no liability for losses arising from platform downtime, price feed disruptions, or data loss. Our liability is limited to the amount paid for the current billing period.
FirmForge is not liable for any losses suffered by clients of your platform. You, the Operator, are the responsible party for all client outcomes.
9. Indemnification
You agree to indemnify and hold harmless FirmForge, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your platform's activities, or your violation of these Terms.
10. Intellectual Property
The FirmForge platform, codebase, branding, and documentation are the intellectual property of FirmForge. Your white-label license does not grant you ownership of any FirmForge intellectual property. You may not reverse-engineer, resell, or sublicense the infrastructure.
11. Changes to Terms
FirmForge may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We will notify active operators by email when significant changes are made.
12. Governing Law
These Terms are governed by the laws of the applicable jurisdiction of FirmForge's registered entity. Any disputes shall be resolved through binding arbitration before escalating to court proceedings.
